Terms & Conditions
1. Scope of Work
The work detailed in this invoice/estimate encompasses epoxy and advanced coating services provided by M&A Retrofit as specified and agreed upon in the contract. Our services include comprehensive surface preparation—such as cleaning, grinding, and crack repair—to ensure optimal adhesion and performance of the coating system. Depending on the project requirements, we may use a range of premium materials including epoxy, polyaspartic, polyurethane, polyurea, and aliphatic urethane. All materials are applied to meet high industry standards, and all work will adhere to the Ontario Building Code and relevant local regulations to ensure a safe, durable, and visually appealing finish. Any additional work requested by the client outside the agreed scope—such as design changes, unforeseen substrate preparation needs, or adjustments due to site conditions—will require a separate estimate and prior written approval. The scope of work excludes responsibility for pre-existing structural deficiencies, concealed damages, or site conditions not disclosed before the commencement of work.
2. Materials and Quality
M&A Retrofit is committed to delivering high-quality results using advanced techniques and state-of-the-art materials tailored to each project’s unique requirements. While we may use epoxy when suitable, our services primarily rely on premium materials such as polyaspartic, polyurethane, polyurea, and aliphatic urethane coatings. These materials are selected based on performance, durability, and suitability for specific environments. Key benefits of our materials include:
- Polyaspartic: Fast curing, high UV resistance, exceptional durability, indoor/outdoor use.
- Polyurethane: Flexible, resistant to cracking, superior resistance to stains and moisture.
- Polyurea: Rapid curing, excellent resistance to extreme temperatures, high elasticity.
- Aliphatic Urethane: Outstanding UV stability, high-gloss finish, excellent abrasion resistance.
We carefully evaluate each project’s requirements to determine the most suitable materials. Slight variations in texture or color may occur due to the nature of these materials and the condition of the existing surface.
3. Site Preparation
Proper site preparation is essential. The client is responsible for ensuring the work area is clear of furniture, fixtures, and personal belongings. Access must be unrestricted, and necessary utilities—electricity, water, and lighting—must be available. Surfaces must be structurally sound; pre-existing issues like cracks or excessive moisture must be disclosed beforehand. For safety, access to the work area should be restricted to authorized personnel during the project.
4. Payment Terms
- Deposit: A 50% deposit is required before work begins.
- Completion: Final balance is due within 7 calendar days of completion.
- Methods: Certified cheque, e-transfer, or cash.
- Late Payments: Overdue invoices are subject to 2.5% monthly interest (34.5% per annum).
- Cancellation: Deposits are non-refundable if canceled less than 14 days before start date.
5. Warranty
M&A Retrofit offers a 5-year warranty for residential indoor and garage applications and a 1-year warranty for commercial, industrial, and outdoor projects. What is Covered: This limited warranty covers adhesion failures and significant defects in the coating materials resulting directly from the installation process. What is Not Covered: The warranty specifically excludes normal wear and tear, pre-existing substrate issues (such as structural slab instability or excessive moisture levels), and damage caused by misuse, impact, neglect, improper maintenance, structural settling, or unauthorized third-party repairs. Warranty Conditions & Claims: To make a claim, the client must submit a written request within 14 calendar days of identifying the issue, providing project and identification details along with supporting photographic evidence. Each claim requires a mandatory on-site inspection by M&A Retrofit to evaluate the cause of failure. Repairs will be authorized only if the defect falls within the specified coverage. Normal wear and tear and pre-existing substrate conditions are strictly excluded from all warranty claims.
6. Cancellations and Rescheduling
Notice of at least 14 days is required to cancel or reschedule. Less than 14 days’ notice results in forfeiture of the deposit. Cancellations after work has begun incur a 25% fee of the total contract value. M&A Retrofit reserves the right to cancel if site conditions are unsafe or payments are not received.
7. Surface Conditions
Pricing assumes a suitable substrate based on initial assessment. Client must disclose cracks, moisture, or previous treatments. Unforeseen conditions discovered during preparation—such as structual instability or hidden damage—may require remediation services and additional charges, subject to client approval.
8. Change Orders
Modifications to the scope must be documented in a signed Change Order specifying adjustments to cost and timeline. No changes will proceed without written client approval. Unauthorized modifications by third parties will void relevant warranties and release M&A Retrofit from liability for resulting defects.
9. Completion Timeline
While we strive for timely completion, schedules are estimates and can be affected by weather, unforeseen site conditions, or material availability. We will notify the client of any significant delays and provide revised estimates. Mitigation measures include thorough inspections and early material stocking.
10. Client Obligations
- Access: Provide unrestricted property access and secure codes/keys.
- Utilities: Ensure electricity, water, and lighting are available.
- Preparation: Disclose surface issues and clear obstacles prior to team arrival.
- Safety: Restrict worksite access during the project to authorized personnel only.
11. Final Approval
Clients must inspect the work within 14 calendar days of completion. Report valid concerns in writing during this period. After 14 days, the work is considered accepted and approved. Post-inspection concerns qualify under warranty terms only if they meet specific defect criteria.
12. Disputes
Disputes are governed by Ontario law. Parties first attempt mediation, followed by binding arbitration under the Arbitration Act, 1991 (Ontario) if necessary. Legal proceedings are limited to Ontario jurisdiction. Both parties agree to communicate openly and act in good faith.
